Terms of Service

These terms are an agreement between you and Practical Accounting & Tax LLC of Prescott, Arizona (“we,” “us”) governing your use of Kept In Mind — the iPhone app, the web app at app.keptinmind.com, and this website (together, the “Service”). By creating an account or using the Service, you agree to these terms. If you don’t agree, please don’t use the Service.

1. The Service

Kept In Mind is a personal memory app: it stores people and the details you record about them, to-dos, notes and flash cards, canvases, and calendar entries, and syncs them between your devices. We may improve, add, or remove features over time; if we ever remove something significant, we’ll aim to tell you in advance.

2. Your account

  • You must be at least 13 years old to use the Service.
  • Provide accurate account information and keep it up to date.
  • You are responsible for activity under your account and for keeping your sign-in credentials secure.
  • Tell us promptly if you suspect unauthorized access to your account.

3. Subscriptions, trials, and billing

Kept In Mind has one paid plan, Pro, available for $9.99 per month or $99 per year. New accounts start with a 14-day free trial, once per user.

  • Subscriptions auto-renew at the end of each billing period until you cancel.
  • On the web, payment is processed by Stripe. On iPhone, payment is processed by Apple through In-App Purchase, under Apple’s terms.
  • One active subscription unlocks the Service everywhere — web and iPhone.
  • You can cancel anytime. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Refunds follow the policies of the store you purchased through: contact us for Stripe (web) purchases, or request a refund from Apple for App Store purchases. Except where required by law, payments are otherwise non-refundable.
  • If we change prices, the new price applies from your next renewal, and we’ll notify you before it takes effect.

4. Acceptable use

Use the Service only for lawful, personal purposes. You agree not to:

  • Break the law, or store content you have no right to store.
  • Probe, disrupt, overload, or interfere with the Service or its security.
  • Attempt to access another user’s account or data.
  • Reverse engineer, resell, or rebrand the Service.
  • Use automated tools to scrape or bulk-extract data from the Service, other than exports of your own content.

5. Your content

Your content is yours. You keep all rights to everything you put into Kept In Mind. You grant us only the limited license we need to operate the Service — to store your content, back it up, and sync and display it to you on your devices. We do not use your content for advertising, do not sell it, and do not use it to train AI models. You are responsible for the content you store and for having the right to store it.

6. Our property

The Service itself — its software, design, and branding — belongs to Practical Accounting & Tax LLC. These terms don’t give you any right to use our name, logo, or code outside of using the Service as intended.

7. Termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your account if you materially breach these terms, if required by law, or if we discontinue the Service — in which case we’ll give you reasonable notice and a chance to export your content where practicable. Sections 5, 8, 9, and 10 survive termination.

8. Disclaimer of warranties

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the Service will be uninterrupted, error-free, or that data will never be lost — please keep your own copies of anything critical.

9. Limitation of liability

To the fullest extent permitted by law, Practical Accounting & Tax LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to the Service. Our total liability for all claims relating to the Service is limited to the amount you paid us in the twelve months before the claim arose. Some jurisdictions don’t allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your content or your violation of these terms or of the law.

11. Changes to these terms

We may update these terms from time to time. If a change is material, we’ll notify you by email or in the app before it takes effect, and the “Last updated” date above will change. Continuing to use the Service after a change takes effect means you accept the updated terms.

12. Governing law

These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Arizona, and you consent to their jurisdiction.
